VeriTread, Inc. (hereinafter referred to as "VeriTread" or "we") is committed to protecting your privacy online. You are important to us, and we will take special care to maintain your trust. In order to fully understand your rights, we encourage you to read this Privacy Statement (or "Statement") and to consult our Terms of Use as set forth in the VeriTread website currently located at VeriTread.com ("VeriTread Site" or "Site"). This Statement describes your rights regarding our collection, use, storage, sharing, and protection of your personal information. It applies to the VeriTread Site, and all related sites, applications, services, and tools where this Statement is referenced and under direct control of VeriTread regardless of how you access or use them, including mobile devices. When does VeriTread collect my personal information?

VeriTread gathers information from users in four ways: voluntary registration, cookies, web beacon technology, and log files.

Voluntary Registration. When you register with VeriTread, we ask for certain necessary personal information. Other specific services may have additional registration requirements and may require you to provide additional information.

Cookies. When you access our websites, or use our applications and/or services and tools, we may place small data files on your computer or other device known as a "cookie". VeriTread uses a browser cookie to remember your login name (but not your password), as a reminder to assist you the next time you log on to our Site. A cookie helps the Site to recall your specific information or subsequent visits in order to simplify the process of delivering relevant content and ease site navigation. You have the ability to accept or decline cookies by modifying your browser setting to decline cookies if you prefer. If you choose to decline cookies, you may not be able to use interactive features of this or other websites that depend on cookies.

You may also encounter cookies from third parties, known as service providers, that we have allowed on our site that assist us with various aspects of our web site operations and services. VeriTread maintains no control over these third party cookies that you may encounter.

Web Beacons. VeriTread may use electronic images known as web beacons - sometimes called single-pixel gifs - that assist in delivering cookies on our sites and allow us to count users who have visited those pages and to deliver co-branded services. We may include web beacons in promotional email messages or our newsletters in order to determine whether messages have been opened and acted upon. VeriTread may also employ web beacons from third parties in order to help us compile aggregated statistics and determine the effectiveness of our promotional campaigns.

Log Files. VeriTread may also log standard information about your visit, including your IP address, browser type and language, access times, referring website addresses, the pages you view, the links you click and other actions taken in connection with the Site for the purposes of systems administration or to report information in aggregate form to our advertisers, sponsors, and corporate partners.

Location Information. Providing services to our users requires the collection of precise location information. When you download or use our mobile applications – VeriTread Carrier or VeriTread Shipper, we may ask for permission to access your precise location. If you grant our mobile applications permission to access your location through the permission system used by your mobile operating system, we will collect the precise location of your mobile device. We use this information to track shipments, understand your typical driving patterns, and potentially offer carriers & transport providers jobs that are more likely to be relevant to them and their drivers. You may deny or revoke your permission at any time but doing so may affect your ability to utilize all features of our services including your eligibility for Quick Pay or your ability to recover incidental fees.

We may also derive your approximate location from your IP address or phone number. We may also receive information about your location from third parties, such as the shippers and carriers involved in fulfilling any shipment request, or from sensors installed on trailers owned, leased, or controlled by VeriTread.

How is my personally identifiable information used?

We use the personal information you submit to operate, maintain, and provide to you the features and functionality of the Site.

Customized Look and Feel. We use your voluntary information, cookies, web beacons, and log file information to: (a) remember information so that you will not have to re-enter it during your visit or the next time you visit the Site; (b) provide a customized look and feel and personalized content and information; (c) monitor the effectiveness of our service; (d) monitor aggregate metrics such as total number of visitors and traffic patterns, demographics, users' preferences, and other information in the aggregate; (e) diagnose or fix technology problems reported by our users or engineers that are associated with the IP addresses controlled by a specific web company or ISP; and (f) help you efficiently access your information after you sign in.

Email. If you register with our Site, from time to time, VeriTread may email you with informative messages about our services or third party products and services we believe may be of interest to you.

Email Analytics: VeriTread may monitor the opening of emails and clicking of links for analytics purposes. This allows us to measure the effectiveness of our communications and improve our services. The data collected includes email open times, device and browser information. This information is used in aggregate form to analyze trends and user engagement.

With whom does VeriTread share information?

VeriTread may share user information with specific third parties for the purpose of providing additional services. In particular, VeriTread has several service partners who provide services or products and as part of such operations, these companies may be provided certain pieces of your contact information. In addition, VeriTread also discloses aggregated user statistics in order to describe our services and to reach prospective partners, advertisers, and other third parties. However, aggregate data is not traceable to you specifically. Except for these situations, we will not disclose your personal information to any third parties except to the extent necessary to provide you with a requested service or under circumstances required by law. We will disclose your personal information when we believe in good faith that any applicable law, regulation or legal process requires it, or where we believe disclosure is necessary to protect or enforce our rights.

Specific uses of personal information that vary from this Statement (if any) may be found in the Terms of Use or privacy policies applicable to that particular service. To the extent that you are notified of uses of your personal information which are different from those described in this Statement during your enrollment in any particular service, the uses of which you are specifically notified will govern that service. Please note, however, that we do not control the privacy policies of our advertisers and other third party sites to which we provide banner ads and links. If you click through a banner ad or link and submit your information to an advertiser, you will be subject to their own privacy policies. VeriTread assumes no responsibility or liability for these third party policies or the actions of non-affiliated third parties. We encourage you to ask questions before you disclose your personal information to others.

We use Stripe for payment, analytics, and other business services. Stripe collects identifying information about the devices that connect to its services. Stripe uses this information to operate and improve the services it provides to us, including for fraud detection. We may also share your personal information with:

Other third parties to whom you explicitly ask us to send your information (or about whom you are otherwise explicitly notified and consent to when using a specific service.)

We may disclose non-public personal information to unrelated parties in special cases when we have reason to believe that that disclosure is necessary to identify, contact, or bring legal action against a person or persons who may be causing injury to, or interference with, the rights or property of VeriTread (including the Site), computer users accessing the Site, or any third party. In addition, we may disclose information about individuals who access the Site to law enforcement agencies, judicial or government authorities, or to other individuals or entities in response to subpoenas, court orders, or other legal processes.

How We Protect and Store Your Personal Information

We store and process your personal information on our computers in the US where our facilities are located. We protect your information using technical and administrative security measures to reduce the risks of loss, misuse, unauthorized access, disclosure and alteration. Some of the safeguards we use are firewalls and data encryption, physical access controls to our data centers, and information access authorization controls.

We take steps to ensure that the personal information we collect is accurate and up to date, and we provide you with the opportunity to update your information through your account profile settings. We retain information as long as it is necessary and relevant for our operations. In addition, we may retain personal information from closed accounts to comply with the law, prevent fraud, collect any fees owed, resolve disputes, troubleshoot problems, assist with any investigation, enforce the Terms of Use and take other actions permitted by law.

Children's Privacy

The Site is not intended for children under the age of 13. We do not knowingly collect personal information via our websites, applications, services, or tools from users in this age group.

If you are under the age of 13, please do not submit any personal information to the Site, or ask us to email you. If you are under the age of 18, you should get permission from a parent or guardian before you email the Site, contact the Site, attempt to use the Site, submit information to the Site, or ask us to email you.

Consent to processing:

It is a violation of the Terms of Use to use our services in a manner that could subject VeriTread to jurisdiction or laws in any territory outside the United States. Nevertheless, if you use our services outside of the United States, you fully understand and unambiguously consent to the transfer of such personal information to, and the collection and processing of such personal information in the United States and other countries or territories. The laws on holding personal information in the United States may vary and be less stringent than laws of your state or country.

Forum Selection and Choice of Law:

This Statement, which is an agreement between you and VeriTread, shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. Any dispute or legal proceeding relating to or arising from this Statement or your use of our services will be adjudicated by a court of competent jurisdiction sitting in the state of Florida, County of Polk, and you and VeriTread expressly consent to the personal jurisdiction of the State and Federal courts sitting in Polk County, Florida.

Indemnification

You hereby indemnify and hold harmless VeriTread, and upon VeriTread's request, will defend VeriTread and its affiliates (and their respective directors, officers and employees) from and against any and all losses, liabilities, damages, costs or expenses (including reasonable attorneys' fees and costs) arising out of your use of our services, including but not limited to any such use which is not authorized under this Statement or the Terms of Use, or as a result of such use, any external party gaining access to and/or utilizing our services.

California Privacy Rights

Beginning on January 1, 2005, California Civil Code Section 1798.83 permits our visitors who are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. What else should I know about my privacy?

You should be aware that if you voluntarily disclose personal information online in a public area, this information may be collected and used by others. We do not control the actions of our visitors and registered users. If you disclose personal information in a publicly accessible place in the Site, you do so at your own risk and you understand that your disclosed information may be collected and used by others to send you unsolicited messages, advertisements, or for other purposes. If you remove personal information from the Site, copies may remain viewable in cached and archived pages for a certain period of time, and other users may have copied or stored your personal information.

Also, VeriTread may store personal information in locations outside the direct control of VeriTread (for instance, on servers or databases co-located with hosting providers). Although VeriTread uses reasonable efforts to safeguard the privacy of your personal information, transmissions made by means of the Internet cannot be made absolutely secure and are made at your own risk. VeriTread expressly disclaims any warranty that your personal information will not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. VeriTread assumes no liability for disclosure of data due to errors in transmission or unauthorized breach of our safeguards by third parties.

Acceptance of Privacy Statement

By using the VeriTread Site and our services, you signify your acceptance of this Statement. If you do not agree or are not comfortable with any policy described in this Statement, your only remedy is to discontinue use of the VeriTread Site and our services.

VeriTread reserves the right to change this Statement from time to time. The most current version of the policy will govern our use of your personal information. In the event that VeriTread, in its sole discretion, determines that updates to this Statement constitute a material change, we may inform you of such changes in a notice published via our service or send an email to the email address associated with your account. Notwithstanding the foregoing, VeriTread is under no obligation to notify you regarding changes to this policy, and thus you should periodically visit this page to review the then current Statement to which you are bound.
